End User License Agreement

This End User License Agreement (“EULA”) is a legal agreement between you (or the organisation you represent) and Hayati AI Nexus Pvt. Ltd. for Hayati AI Nexus desktop software and related components delivered under a commercial license. Portal acceptance of this EULA is recorded against your organisation’s license workflow. If a signed enterprise agreement conflicts with this EULA, the signed agreement prevails to the extent of the conflict.

1. Grant of license

Subject to payment and entitlement records, Hayati grants a non-exclusive, non-transferable (except as allowed in writing), non-sublicensable license to install and use the desktop software for your internal business operations in India, limited to the seats, devices, branches, editions, and add-ons purchased.

2. Activation and offline use

The software may require online activation and periodic license validation. After activation, entitled counter workflows are designed to operate offline. You must not defeat, bypass, or falsify activation or entitlement controls.

3. Restrictions

• No rental, timeshare, or service-bureau use except under a written MSP agreement
• No reverse engineering except where mandatory law permits
• No removal of proprietary notices
• No use as clinical decision support or for diagnosis/treatment decisions

4. Data and backups

Operational databases created by the desktop software remain on systems you control unless you enable optional cloud features under separate terms. You are responsible for backups and for dual-control restore procedures where the product provides them.

5. Updates and support

Updates may be provided during an active maintenance or subscription term. Support channels and hours are described in the Terms of Service unless your order form states otherwise.

6. Ownership

Hayati retains all right, title, and interest in the software. This EULA does not transfer ownership.

7. Term and termination

The license continues for the term purchased and renews only if renewal fees are paid and accepted. It terminates automatically upon material breach. On termination you must stop use and destroy copies, except archival copies required by law.

8. Warranty disclaimer and liability

Disclaimers and liability limits in the Terms of Service apply to this EULA unless a signed enterprise agreement provides otherwise.

9. Governing law

This EULA is governed by the laws of India, with exclusive jurisdiction of courts at Ahmedabad, Gujarat, subject to mandatory law.
